Texas LLC Formation Service: DIY Filing vs Hiring a Service

You can form a Texas LLC yourself.

Texas Form 205 carries a $300 base filing fee. If you understand the information the Certificate of Formation requires, have a compliant registered agent, and are comfortable submitting and keeping the records yourself, there is no requirement to hire a formation service.

Hiring one changes the administrative work around the filing. It does not change the underlying Texas requirements.

That distinction becomes clearer when you look at what Form 205 actually contains.

Some parts are decisions you have to make. Some are administrative work another person can perform for you. Some depend on somebody else's consent. And some remain entirely under the control of the Texas Secretary of State.

A formation service can move work from one side of that line to the other.

It cannot erase the line.

Form 205 mixes four different kinds of responsibility. A paid service can change only some of them.

1. You decide

LLC name, governing structure, business facts, addresses, purpose and timing choices.

2. A provider can execute

Collect information, prepare Form 205, submit it, monitor it and organize the resulting records.

3. Another party may have to consent

A registered agent must qualify and consent to serve. A filing service cannot invent that consent.

4. Texas still controls

Final filing acceptance, state processing and whether the submitted document satisfies filing requirements.

The buying decision becomes clearer when you separate what can actually be outsourced from what cannot.

The Texas Secretary of State currently lists $300 as the filing fee for a Certificate of Formation for an LLC. Texas also states that fees paid by credit card are subject to a statutory convenience fee of 2.7% of the total fees charged. Texas Secretary of State Form 205 instructions.

That means $300 is the common base state cost.

Hiring a service does not make it disappear.

If you file directly, you pay the applicable Texas filing charges and perform the formation work yourself.

If you hire a provider, you pay the applicable Texas filing charges plus whatever the provider charges for its own service.

Keeping those two layers separate prevents a fairly simple comparison from becoming harder than it needs to be.

LLC name

You supply: the name you want to use.

A formation service can handle: preliminary checking and entering the name into the filing.

What it cannot control: Texas's final determination that the name satisfies the state's filing requirements.

Registered agent and registered office

You need: a qualifying registered-agent arrangement and the required Texas street address.

Another party may handle: the registered-agent role itself if an eligible person or professional service agrees to serve.

What cannot be skipped: the agent's consent and the underlying eligibility requirements.

A provider offering registered-agent service can solve this requirement for you. A provider that is merely preparing Form 205 cannot invent an agent who has not agreed to serve.

Governing authority

You decide: whether the LLC initially has managers or does not have managers, and who the relevant governing persons are.

A formation service can handle: placing the names, addresses and chosen structure into the correct part of Form 205.

What should not quietly be outsourced: the business or legal judgment behind a management structure you do not understand.

This is one of the clearest boundaries on the form.

Purpose and initial mailing address

You supply: the business circumstances and the mailing address that belongs in the filing.

A formation service can handle: preparing the fields from the information you provide.

What may require something else: a specialized purpose, licensed activity or situation where the standard Form 205 language does not fit.

Organizer and execution

Form 205 requires: an organizer to sign the Certificate of Formation.

A formation provider may be able to handle organizer and submission work as part of its filing process where its service arrangement permits it.

Effective date

You decide: whether you want the ordinary filing-date effectiveness or have a legitimate reason to use one of Texas's permitted delayed-effectiveness options.

A formation service can handle: placing that instruction into the filing.

Texas controls: when it accepts and files the document.

That is the pattern running through Form 205.

A service can take over execution.

The facts, decisions, consents and state authority do not all move with it.

Article 1 asks for the LLC name

Texas requires the Certificate of Formation to provide the company name and an appropriate organizational designation.

The name must satisfy Texas name-availability requirements. The Secretary of State can provide a preliminary determination, but it warns that a final determination cannot be made until the filing is received and processed. Texas Secretary of State Form 205 instructions.

So a name search can help you prepare.

It does not become a guarantee that Texas will accept the filing under that name.

A formation service can perform or assist with that preliminary work and place the requested name into the filing. The final filing decision still belongs to the state.

Article 2 needs a registered agent who has actually agreed to serve

A Texas LLC has to maintain a registered agent and registered office in Texas.

The registered agent may generally be an individual Texas resident or a qualifying domestic or foreign organization registered to do business in Texas. The LLC itself cannot act as its own registered agent. Texas Secretary of State registered-agent FAQs.

The registered office also has its own requirement.

It must be a Texas street address where service of process can be personally served on the registered agent during normal business hours. Texas says the registered office cannot solely be a mailbox service or telephone answering service. Texas Secretary of State Form 205 instructions.

None of that means you must pay for professional registered-agent service.

An eligible person can serve when the requirements are met and that person agrees to the appointment.

A paid registered-agent service becomes useful when you do not already have a suitable arrangement or deliberately want that responsibility handled by a professional service.

Those are different questions.

Consent exists even though you normally do not file it with Form 205

Texas requires the person designated as registered agent to consent in writing or electronically.

But the consent is generally not submitted with the Certificate of Formation.

The Secretary of State says the consent should instead be provided to and retained by the represented entity. Texas Secretary of State registered-agent FAQs.

  1. The LLC designates the agent. Form 205 identifies who will serve.
  2. The agent consents. Texas requires written or electronic consent.
  3. The consent usually stays with the LLC. It is generally retained by the represented entity instead of being submitted with Form 205.
  4. The filing and the consent are related, but they are not the same record.

That creates a useful distinction between what appears in the filing and what the LLC still needs in its own records.

If you handle the formation yourself, obtaining and retaining that consent belongs on your own formation checklist.

If a provider supplies the registered-agent service, that part of the relationship may be coordinated inside the provider's process.

The requirement itself does not disappear.

Article 3 is not merely another address field

Texas requires the Certificate of Formation to state whether the LLC initially has managers.

If it does, Form 205 asks for the name and address of each initial manager.

If the LLC initially does not have managers, the filing instead asks for the name and address of each initial member who will serve as a governing person.

At least one governing person must be identified, and Texas requires an address for each governing person listed. Texas Secretary of State Form 205 instructions.

This is where the boundary between filing assistance and business judgment becomes obvious.

A provider can transfer your answer into the correct field.

The provider should not quietly decide how your LLC is supposed to be governed simply because it is preparing the document.

If you already understand whether the structure you are creating will initially have managers, the filing step may be straightforward.

If you do not understand the consequences of that decision for your particular situation, faster document preparation is not the missing service. You may need appropriate legal guidance.

Those are two different problems.

Form 205 still needs a few more owner-supplied decisions

The remaining parts of the form are easy to overlook when formation is reduced to choosing a name and pressing Submit.

Purpose

Texas Form 205 provides a general lawful-purpose provision for an LLC.

The Secretary of State also warns that other laws may require more specific language in some situations and that Form 205 cannot be used when the proposed licensed activity cannot legally be carried on through that type of LLC. For an ordinary business this may require very little thought.

For a regulated or professional activity, the answer may be more important than the filing itself.

Initial mailing address

Texas requires an initial mailing address for the LLC.

The state says this is the address the Texas Comptroller of Public Accounts will use to send tax information and correspondence. Unlike the registered-office requirement, this address may be either a street address or a P.O. Box. Texas Secretary of State Form 205 instructions.

The registered office and initial mailing address therefore solve different problems.

They should not be treated as interchangeable simply because both appear on the same formation document.

Organizer

Only one organizer is required.

Texas allows the organizer to be an individual with the required legal capacity or a corporation or another legal entity. There is no Texas residency requirement for the organizer. Filing effectiveness

The simplest option is for the Certificate of Formation to become effective when the Secretary of State files it.

Texas also permits certain delayed effective dates and qualifying future events or facts, subject to the conditions and 90-day limits described in the Form 205 instructions. Texas Secretary of State Form 205 instructions.

Most straightforward formations may never need the more complicated options.

But if you do need one, that is another example of why a filing service should not invent an answer merely because the form contains a field for it.

What DIY Texas formation actually requires from you

Texas currently lists Form 205 for online filing through SOSDirect. The state's instructions also allow paper submission by mail or courier and identify SOSUpload as an electronic route for submitting a completed and executed PDF. Texas Secretary of State business organization forms.

A straightforward self-filing process therefore looks roughly like this:

  1. Choose the LLC name and understand that preliminary availability is not final approval.
  2. Choose a qualifying registered agent and obtain written or electronic consent.
  3. Decide whether the LLC will initially have managers.
  4. Gather the required names and addresses for the governing persons.
  5. Confirm the purpose, initial mailing address, organizer and desired effective date.
  6. Complete Form 205 accurately.
  7. Submit the filing through an available Texas filing method and pay the applicable state charges.
  8. Keep the filed Certificate, registered-agent consent and other formation records together.

The important part is not whether you are capable of submitting a form.

It is whether you understand the answers you are authorizing somebody to submit.

If you do, the administrative work may be perfectly reasonable to handle yourself.

What a Texas LLC formation service can genuinely take off your hands

This is where paying a service can become useful.

A formation provider may collect the required information, prepare the Certificate of Formation, submit it through the appropriate state process, monitor the filing and organize the approved documents afterward.

That is real work.

But the responsibility map does not suddenly reverse.

The provider still needs your LLC name and underlying business information.

It still needs to know how you intend the company to be governed.

The registered agent still has to qualify and consent.

There are situations where keeping the $495 makes more sense

Sometimes neither DIY filing nor a formation service is the answer

There is another possibility that gets lost when the entire decision is reduced to "file yourself or hire a formation service."

You may have a question that Form 205 cannot answer for you.

Texas itself says the form is designed to meet minimum statutory filing requirements and that the form and instructions are not substitutes for the advice and services of an attorney or tax specialist. Texas Secretary of State Form 205 instructions.

If you do not know whether an LLC is the appropriate entity, need individualized advice about management rights, require specialized provisions, are entering a regulated professional activity or need tax advice, buying document preparation may leave the real question untouched.

You do not necessarily need professional advice merely because you are forming an LLC.

But when the unresolved issue is legal or tax judgment, a filing service is not a substitute for it.

The responsibility does not end when Texas accepts Form 205

Formation gets the LLC into existence.

It does not make the company self-maintaining.

Those obligations depend on the business and should be evaluated separately from the formation filing.

What matters here is simpler.

Whether you submitted Form 205 yourself or paid somebody else to do it, the company that comes out the other side is still yours to operate.
