Service Disclosures

A direct explanation of what each FilingOak service includes, where its boundaries sit, and which decisions remain under the control of a customer, government agency, or independent provider.

BEFORE PAYMENT

Order only when the stated service fits the actual need.

FilingOak would rather clarify a boundary before payment than let a customer purchase a service that cannot provide the required outcome.

The applicable order page, Terms of Service, Refund Policy, Privacy Policy, and these disclosures should be read together. The specific order page controls the exact inclusions, price, state fee, eligibility, and service term accepted at checkout.

General disclosure and legal operating entity

FilingOak is a service brand operated by Enterobiz LLC, a New Mexico limited liability company. Customers purchase FilingOak services while Enterobiz LLC serves as the legal operating entity behind the brand.

FilingOak provides administrative filing, application, document-handling, compliance-support, and client-workspace services. FilingOak is not a law firm, accounting firm, tax adviser, financial adviser, bank, government agency, or the Internal Revenue Service.

Purchasing a service does not create an attorney-client, accountant-client, fiduciary, employment, partnership, or professional advisory relationship.

A narrow written authorization may permit FilingOak to perform a specific administrative task, such as submitting a state filing or acting as the Third-Party Designee for a particular Form SS-4. That limited authorization does not create general authority over the customer, the LLC, its tax records, or its business decisions.

Administrative explanation is not professional advice

FilingOak may explain a form, filing process, known deadline, service boundary, or generally available option. FilingOak does not choose a legal structure, tax election, ownership arrangement, financial strategy, or professional course of action for the customer.

LLC Formation Service

FilingOak’s LLC Formation Service covers preparation and submission of an eligible state formation filing and the additional components expressly listed on the applicable service page and order form.

The current formation package may include:

  • LLC formation filing
  • First-year Registered Agent service
  • State-specific Operating Agreement
  • FounderVault access
  • Compliance Center access
  • Compliance reminder notifications
  • FilingOak Foundation Report
  • EIN application handling
  • Eligible legal-mail scanning and upload
  • Public-record address boundaries

Exact package inclusions remain governed by the service page and order form accepted when the customer purchases.

What formation does not guarantee

FilingOak cannot guarantee business-name availability, a particular government-processing time, tax treatment, banking approval, payment processing, credit, licensing, permits, insurance, marketplace approval, privacy outside the stated scope, or commercial success.

State approval forms the LLC under the applicable state process. It does not automatically provide every authorization the business may need to operate.

Review before submission

FilingOak reviews the submitted information before preparing the formation. Once review is complete and all required information, authorization, signatures, and payment are available, FilingOak begins its internal formation preparation within three business days.

Name availability and final filing acceptance remain under the authority of the applicable state.

State-specific Operating Agreement

When included with an LLC formation package, FilingOak prepares an Operating Agreement using the LLC’s formation state and the ownership and management information supplied by the customer.

The process may distinguish between single-member and multi-member ownership and between member-managed and manager-managed structures. It is not intended to be one unchanged agreement relabeled for every LLC.

The customer’s supplied ownership, management, contribution, voting, and formation facts can be reflected where applicable.

Outside ordinary scope

Complex legal drafting

Investor rights, disputed ownership, special allocations, succession planning, and unusual control arrangements may require an attorney.

FilingOak does not fabricate owners, ownership percentages, contributions, signatures, or attorney involvement. FilingOak does not describe the agreement as attorney-reviewed unless an actual, verifiable attorney review occurred.

The customer is responsible for reviewing the agreement and confirming that the supplied business facts are accurate.

Public-Record Address Privacy

Where legally permitted and supported, FilingOak may use an address supplied by Enterobiz LLC or its backend provider in eligible public state-formation fields.

The purpose is to reduce unnecessary publication of the customer’s home address in those particular public filing fields.

Public-record privacy is not anonymity

The service does not conceal names that the state requires, invent an owner or manager, replace the real responsible party, create a false business location, or authorize a deceptive filing.

The address is not automatically:

  • A physical office
  • A customer-access location
  • An unrestricted mailing address
  • A package or inventory facility
  • Proof that the customer works from the address
  • A guaranteed banking address
  • A guaranteed licensing address
  • A guaranteed marketplace or verification address

Banks, tax agencies, regulators, payment processors, marketplaces, insurers, and licensing authorities may still require the customer’s real residential, mailing, or operating address.

Registered Agent Service

Registered Agent service is supplied through established independent service infrastructure and is limited to the statutory Registered Agent role and permitted provider address uses.

Registered Agent service is not:

  • A general business office
  • A personal residence
  • A package or inventory center
  • General Mail Scanning
  • Unrestricted address use
  • A substitute for customer recordkeeping

When eligible legal notices or state correspondence are received and available for processing, FilingOak’s operating standard is to scan and upload them to the correct FounderVault record on the same business day.

Same-business-day handling begins after the eligible document is received and available. FilingOak does not control when a sender, postal carrier, court, government agency, or independent provider delivers the original item.

Customers remain responsible for keeping their contact information current, accessing delivered documents, and responding before any applicable deadline.

No automatic renewal

The current FilingOak Registered Agent service does not renew automatically. Continued service requires a new voluntary renewal purchase before the existing term expires.

Annual Report Filing Service

Annual Report Filing Service covers preparation and submission of the eligible annual report identified in the order using information supplied and approved by the customer.

Unless expressly included, the service does not cover:

  • Federal or state tax returns
  • Beneficial ownership reports
  • Business licenses or permits
  • Articles of amendment
  • Reinstatement or dissolution
  • Past-due penalties
  • Unrelated state filings
  • Legal or tax advice

The customer must order with sufficient time remaining, provide accurate information, and respond when clarification or approval is needed.

The filing authority controls review, correction requests, acceptance, rejection, and processing time. A correction request does not automatically mean the filing has failed.

EIN Application Services

The IRS does not charge a fee to issue an EIN. FilingOak charges for the professional administrative work surrounding eligibility review, information review, preparation, authorized submission, status follow-up, correction, resubmission, and secure delivery.

EIN service included with formation

EIN application handling included with an eligible LLC formation package has no separate additional service charge.

For an eligible U.S. resident who supplies the required authorization and taxpayer information, FilingOak may complete the application through the IRS online system.

For a non-U.S. resident without an SSN or ITIN, FilingOak prepares and submits Form SS-4 through the applicable IRS process as the authorized Third-Party Designee.

The customer may decline FilingOak’s EIN handling and obtain the EIN independently. Declining the included service does not reduce the formation-package price.

Standalone EIN service

The standalone $249 EIN Application Service is intended for an eligible non-U.S. resident whose U.S. LLC has already been formed and who does not have an SSN or ITIN.

The service includes:

  • Eligibility review
  • LLC information review
  • Form SS-4 preparation
  • Authorized use of the supplied signature
  • Third-Party Designee submission
  • Submission-record retention
  • Appropriate status follow-up
  • Correction or resubmission when required
The service does not end after the first fax

FilingOak continues handling an eligible application through EIN assignment, including an appropriate status inquiry, correction, or resubmission when required, provided the customer remains responsive and FilingOak retains lawful authority to perform the required action.

What FilingOak controls

FilingOak is responsible for the preparation, submission, recordkeeping, communication, and lawful follow-up included in the purchased service.

What the IRS controls

The IRS controls its processing time, application volume, system availability, requests for clarification, assignment process, and mailing of the original confirmation.

FilingOak does not promise an exact IRS completion or delivery date. A longer processing period does not mean FilingOak has abandoned the application.

If the IRS ultimately does not issue the EIN after FilingOak completes the correction, resubmission, or follow-up lawfully available for an eligible and cooperative customer, the standalone service is handled under the full-refund commitment stated in the Refund Policy.

Limited authority

FilingOak is never the LLC’s owner, member, manager, or responsible party. The customer’s authorization and supplied signature apply only to the stated Form SS-4 work.

Third-Party Designee authority is limited to receiving the newly assigned EIN and answering questions about completion of that particular Form SS-4. The authority ends when the EIN is assigned and released or otherwise ends under the applicable IRS process.

Letter 147C retrieval, ITIN applications, tax elections, tax advice, lost-EIN searches, CP 575 replacement, and general IRS representation are not included.

CP 575 delivery

For a standalone EIN order, the original CP 575 is mailed to the address supplied by the customer. FilingOak does not automatically substitute its own address or place the standalone customer’s CP 575 in FounderVault.

For an eligible non-U.S.-resident formation order, the customer may expressly authorize an approved Enterobiz LLC or provider address to receive the CP 575 when that option is offered. If received, the scanned CP 575 may be uploaded to the LLC’s FounderVault workspace.

FilingOak Foundation Report

The Foundation Report is a client-specific post-formation orientation prepared for an eligible FilingOak formation customer.

It may explain:

  • The LLC’s known formation details
  • Available formation records
  • Registered Agent and EIN status
  • Known annual report obligations
  • State filing fees and recordkeeping
  • Default LLC taxation at a high level
  • Questions for a qualified tax professional
  • Separation of personal and business funds
  • General liability-protection limitations
  • Member and manager responsibilities
  • Operating Agreement maintenance
  • When professional assistance may be needed

The Foundation Report is educational and administrative. It is not a legal opinion, tax recommendation, accounting plan, guarantee against personal liability, or substitute for a qualified professional.

FounderVault client-specific workspace

FounderVault is the client-specific workspace FilingOak uses to organize eligible service information around a particular LLC. It is more than a generic document-delivery page.

Depending on the purchased service, FounderVault may provide:

  • Formation timeline and filing status
  • Formation and service documents
  • State-specific Operating Agreement
  • Foundation Report
  • Registered Agent records
  • Eligible legal-mail scans
  • Compliance Center visibility
  • Annual report and renewal records
  • Service communications
  • Historical service information

FounderVault is not a government repository or guaranteed permanent storage system. Customers should download and securely preserve every important document independently.

If a customer owns multiple LLCs, each LLC should remain organized under the correct workspace and service records.

Compliance Center and reminders

The Compliance Center may display supported state obligations, known filing dates, annual report information, Registered Agent service status, renewal visibility, and reminder records associated with an eligible LLC.

FilingOak may provide supported reminder notifications approximately 90, 30, and 7 days before a known tracked deadline.

Compliance visibility and reminders are organizational support. They are not legal advice, a compliance guarantee, or a transfer of the customer’s responsibility to meet legal, tax, licensing, reporting, payment, and renewal obligations.

FilingOak may not track every obligation that applies to a customer’s industry, location, employees, taxes, licenses, or changing business circumstances.

Failure to receive an email or view a reminder does not extend a government deadline.

Mail Scanning Service

The $299 Mail Scanning Service provides one year of scanning for up to 25 qualifying document-mail items at an available backend-provider address in a supported state.

Each additional qualifying item costs $29. Scanning may pause until the additional-item charge is paid.

What the service is

The service is for receiving and scanning qualifying letters and documents within the provider’s permitted use.

What the service is not

  • Registered Agent service
  • A physical office
  • Proof of business operations
  • A package or inventory service
  • A customer pickup location
  • A physical forwarding service
  • A return-address facility
  • Long-term physical storage
  • Guaranteed bank acceptance
  • Guaranteed marketplace acceptance
  • Guaranteed licensing acceptance
  • Guaranteed identity verification

Activation may take up to three business days because provider compliance and legitimacy checks are required.

Junk mail may be identified and destroyed without scanning. Processed originals are not retained after processing. Eligible scans may remain available in FounderVault for as long as reasonably practical, but permanent availability is not guaranteed.

Refund and renewal boundary

If the provider rejects the application and FilingOak cannot activate the service, the customer receives a full refund. Once the annual provider cost is committed, cancellation does not create a prorated refund. The service remains available for the paid term and does not renew automatically.

Service fees, state fees, and payment security

FilingOak aims to identify its professional service fee separately from applicable state or government fees.

State filing fees, government-expedited charges, taxes, and penalties are controlled by the applicable authority. Once paid or irrevocably committed, they are generally non-refundable.

When FilingOak collects a state fee through checkout, FilingOak or Enterobiz LLC pays the filing authority using its authorized business payment method. The customer’s payment card is not entered into the state filing portal by FilingOak.

Customer payments are processed through established payment processors, including Stripe. FilingOak does not intentionally store or obtain complete payment-card numbers entered into the processor’s secured payment fields.

Payment processors operate under their own security, privacy, availability, and compliance requirements.

Processing estimates and independent organizations

FilingOak is responsible for performing its own included work with reasonable care and according to the disclosed internal service standard.

State filing authorities, the IRS, Registered Agent providers, address facilities, mail processors, payment processors, hosting providers, communication services, and other independent organizations control their own systems and decisions.

Processing may be affected by:

  • Government or IRS workload
  • Customer responsiveness
  • Missing or inconsistent information
  • Correction or clarification requests
  • Provider compliance review
  • System or fax delays
  • Document availability
  • Weekends, holidays, or closures

An estimated timeframe is not an exact government completion or delivery date.

No internal rush fee

FilingOak does not sell a faster internal processing lane. A separately identified state-expedited option, when available, is a government service and not a FilingOak guarantee.

Security, sensitive information, and electronic communication

FilingOak uses reasonable administrative and technical safeguards, but no online transmission, email account, device, cloud platform, or storage system can be guaranteed completely secure or permanently available.

SS-4 forms, SSNs, ITINs, customer-supplied signatures, and temporary responsible-party working information are not intended to be uploaded to FounderVault.

Sensitive EIN application materials are retained only while reasonably necessary to perform the authorized work and are deleted from systems under FilingOak’s control when the EIN work is completed and the limited Third-Party Designee authority ends, subject to technical, legal, security, and backup limitations.

An eligible scanned CP 575 may be stored in FounderVault only under the authorized formation-package process described in these disclosures.

Email notifications may state that a document is available without attaching the sensitive document itself.

Customers are responsible for protecting their FounderVault credentials, email account, devices, and downloaded files.

Customer information, approvals, and non-response

FilingOak relies on customers to provide complete, accurate, current, and lawful information. Customers must review requested details, provide genuine authorization, and respond when clarification or correction is needed.

FilingOak does not invent missing ownership, management, responsible-party, address, signature, or business information merely to keep an order moving.

If required information, approval, clarification, correction, or a signature remains outstanding for 90 days after FilingOak’s most recent request, FilingOak may close the order as abandoned.

Refund eligibility then depends on whether substantive work, submission, activation, provider commitment, or a non-refundable government payment has already begun.

Automated account creation or creation of an empty FounderVault record does not by itself make an otherwise eligible order non-refundable.
