Publication is a real cost, but not one statewide price

Most New York LLCs publish notice once a week for six consecutive weeks in two newspapers designated by the county clerk. After the run, the LLC files a Certificate of Publication and currently pays the Department of State $50. The newspaper charges are private and vary by county.

The 120-day publication rule has a specific consequence

If the LLC does not satisfy publication within 120 days, New York states that its authority to carry on, conduct or transact business is suspended. The LLC does not simply vanish, but publication is not decorative paperwork.

The $9 Biennial Statement is not New York's tax filing fee

The Department of State Biennial Statement costs $9 every two years. Separately, certain LLCs with New York-source activity file IT-204-LL and may owe an annual filing fee based on classification and New York-source gross income. Those are different systems.

New York formation is only the first of three state systems
