The annual-report date is the point where older explanations most often go wrong. Current South Dakota guidance places the report on the first day of the anniversary month, not in a later month.

The old South Dakota due-date formula is wrong

For an LLC formed June 11, 2026, the first annual report is due June 1, 2027. South Dakota allows filing before the due date and applies delinquency/late treatment later, but the due date itself remains the first day of the anniversary month. South Dakota official filing and fee guidance

Online and paper annual-report fees are different

The current annual-report fee is $55 online and $70 on paper. The paper amount includes the state's paper-filing charge. A $55 late fee can apply when the report becomes delinquent.

Ownership and organizer disclosure are not the same thing

South Dakota does not treat ordinary ownership as automatically filed merely because someone owns part of the LLC. Organizers are part of the formation record, while special entity structures can create additional disclosures.

South Dakota's formation date sets the annual-report month

South Dakota's Articles require the registered-agent and entity information applicable to the LLC. FilingOak uses the company's real ownership and management facts for the Operating Agreement while keeping the public organizer record distinct from ownership claims the state does not ask for.

Organizer disclosure is not the same as owner disclosure in South Dakota

The organizer, registered agent and other information South Dakota requires become public. Public Record Address Privacy applies only to eligible address fields; it cannot be used to rewrite who actually organized the company.
