Delaware's current domestic LLC formation fee is $110.

Delaware's Certificate does not ordinarily list members or managers

The Delaware Certificate of Formation is one of the leaner state formation documents.

An ordinary filing establishes the LLC with the Division of Corporations and identifies the registered-office and Registered Agent arrangement. The members and managers ordinarily do not have to be named in the Certificate simply because they own or manage the company.

That is a narrower public formation record than many states require.

It is not a guarantee of anonymity.

Banks, payment processors, tax authorities and other institutions can require ownership information independently. Other filings and company activities can also create records outside the Certificate of Formation.

Delaware requires a Registered Agent and registered office

A Delaware LLC must maintain a Registered Agent and registered office in the state.

Delaware LLCs pay a $300 annual tax but do not file an LLC annual report

Domestic Delaware LLCs currently pay an annual tax of $300, due on or before June 1. Delaware Division of Corporations LLC tax instructions.

An ordinary Delaware LLC does not file the corporation-style Delaware annual report along with that tax.

Those two facts belong together:

  • annual Delaware LLC tax: $300;
  • LLC annual report: not required for the ordinary domestic LLC.

Late payment can result in a state penalty and monthly interest.

The annual tax is a future state obligation and is not included in the $615 FilingOak formation total.
