SERVICE DISCLOSURES
FilingOak believes important disclosures should be easy to find and easy to understand.
This page summarizes information that may be helpful when evaluating our services.
FilingOak And Enterobiz LLC
FilingOak is a brand operated by Enterobiz LLC.
Customers purchase services through FilingOak while Enterobiz LLC serves as the legal operating entity behind the business.
Not A Law Firm
FilingOak is not a law firm.
FilingOak does not provide legal advice, legal representation, or attorney-client services.
Customers seeking legal advice should consult a qualified attorney licensed in the appropriate jurisdiction.
No Tax, Accounting, Or Financial Advice
FilingOak does not provide tax advice, accounting advice, financial advice, investment advice, or business consulting services.
Customers should consult qualified professionals regarding tax, accounting, financial, or legal matters.
Service Scope
FilingOak currently provides the following services:
- LLC Formation
- Registered Agent Service
- Annual Report Filing
Information about each service is available on the applicable service page.
State Filing Authorities
LLC formations and annual report filings are submitted to the appropriate state filing authority.
Most filings are approved without issue.
Occasionally, a filing authority may request a correction, clarification, additional information, or an update before approving a filing.
When that happens, it does not automatically mean the filing has been rejected.
In many cases, the filing can move forward once the requested information is provided or the issue is corrected.
If a correction request is received, FilingOak will work with the customer to address the issue and submit the necessary updates when appropriate.
Final approval decisions remain the responsibility of the applicable filing authority because FilingOak does not control state review processes.
Most filing issues can be resolved when addressed within the time period provided by the state.
If a correction request is not resolved within the state’s deadline, the filing authority may reject the filing and any state fees already paid may become non-refundable according to the rules of the applicable state.
LLC Name Availability
Business name availability is determined by the applicable filing authority.
A requested LLC name may be unavailable because it is already in use, too similar to an existing business name, restricted by state rules, or otherwise unavailable for registration.
Customers should provide alternative name choices whenever possible to help avoid delays if a requested name cannot be used.
State Fees
Many services include state filing fees charged by government filing authorities.
State fees are separate from FilingOak service fees.
When a service includes state filing fees, the customer pays FilingOak for the applicable service and associated state fees as part of the checkout process.
FilingOak then remits the required state fees to the applicable filing authority as part of delivering the purchased service.
State fees are determined by the applicable filing authority and may change without notice.
Once state fees have been paid to a filing authority, they are generally non-refundable.
Payment Security
Payments are processed through established third-party payment processors, including Stripe.
FilingOak does not store, collect, or have access to complete payment card information submitted during checkout.
Payment information is handled by the applicable payment processor according to its security, privacy, and compliance requirements.
Registered Agent Infrastructure
To provide Registered Agent coverage across the United States, FilingOak works with established Registered Agent infrastructure providers.
FilingOak manages the customer experience, FounderVault access, document organization, renewal visibility, and customer support associated with the service.
FounderVault
FounderVault is the private workspace where FilingOak keeps your business organized, including service visibility, filing records, compliance visibility, renewal visibility, communications, important business records, and account management.
FounderVault is intended to improve organization and visibility but should not be considered a replacement for maintaining independent business records.
When reasonably practical, historical records are intended to remain accessible even after a service becomes cancelled, completed, expired, or inactive.
Processing Times
Processing times may vary based on:
- State filing authority workloads
- Filing requirements
- Information provided by the customer
- Document availability
- Third-party processing timelines
Estimated processing times should not be interpreted as guarantees.
Refunds
Refund eligibility depends on the stage of service delivery.
Generally, refunds are available before service work begins.
Once service preparation, filing preparation, service activation, document preparation, filing submission, or state fee payment has begun, refunds are generally unavailable because resources have already been allocated and work has already been performed.
Additional information is available in the Refund Policy.
Customer Non-Response
Some services require customer information, clarification, corrections, signatures, approvals, or other required details before work can be completed.
If required information remains outstanding for 90 days from the most recent request, FilingOak may close the order and mark the service as abandoned.
Orders closed due to customer non-response are subject to the Refund Policy.
