Terms of Service
These Terms govern your use of the FilingOak website, FounderVault, and services offered through FilingOak.
1Introduction
Welcome to FilingOak.
FilingOak is a brand operated by Enterobiz LLC (“FilingOak,” “we,” “us,” or “our”).
These Terms of Service govern your use of the FilingOak website, FounderVault, and the services offered through FilingOak.
By accessing the website, creating an account, placing an order, using FounderVault, or purchasing a service from FilingOak, you agree to be bound by these Terms of Service.
If you do not agree with these Terms, you should not use FilingOak services.
2Services
FilingOak currently provides the following services:
- LLC Formation
- Registered Agent Service
- Annual Report Filing
- EIN Assistance
Certain LLC Formation orders include EIN Assistance for eligible U.S. residents FilingOak assists customers throughout the EIN application process and, when authorized, may act as a third-party designee to help obtain an EIN from the Internal Revenue Service (IRS).
In most cases, EINs are obtained successfully using the information and authorizations provided by the customer. Additional information or clarification may occasionally be required before an EIN can be issued.

FilingOak may modify, discontinue, or update services at any time.
3Service Scope
FilingOak provides filing and compliance-related administrative services.
FilingOak is not a law firm and does not provide legal advice, legal representation, or attorney-client services.
FilingOak does not provide tax advice, accounting advice, financial advice, investment advice, or business consulting services.
Customers should consult qualified professionals regarding legal, tax, accounting, financial, or business matters when appropriate.
4Customer Responsibilities
Customers are responsible for providing accurate, complete, and current information necessary to complete the requested service.
Customers are responsible for reviewing information submitted through order forms before submission.
FilingOak relies on the information provided by the customer when preparing and submitting filings.
FilingOak is not responsible for delays, filing issues, correction requests, rejection risks, or additional costs resulting from inaccurate, incomplete, outdated, or misleading information provided by the customer.
5Customer Authorization
By placing an order, the customer authorizes FilingOak to prepare, process, and submit documents associated with the requested service using the information provided by the customer.
This authorization includes the preparation and submission of LLC formation filings, annual report filings, and other documents reasonably required to deliver the purchased service.
The customer remains responsible for the accuracy of the information provided.
6LLC Name Availability
LLC name availability is determined by the applicable filing authority.
A requested business name may be unavailable because it is already in use, too similar to an existing business name, restricted by state rules, or otherwise unavailable for registration.
Customers are encouraged to provide alternative name choices during the order process.
If the preferred LLC name is unavailable, FilingOak may use an authorized alternative name provided by the customer when permitted.
If no suitable alternative can be used, FilingOak may contact the customer before proceeding.
7State Filing Authorities
LLC formations and annual report filings are submitted to the applicable filing authority.
Most filings are approved without issue.
Occasionally, a filing authority may request corrections, clarifications, additional information, or updates before approving a filing.
A correction request does not automatically mean a filing has been rejected.
When appropriate, FilingOak may work with the customer to address correction requests and submit updates required by the filing authority.
Final approval decisions remain the responsibility of the applicable filing authority because FilingOak does not control state review processes.
If a correction request is not resolved within the state’s deadline, the filing authority may reject the filing and state fees already paid may become non-refundable according to the rules of the applicable state.
8State Fees
Many services include state filing fees charged by government filing authorities.
State fees are separate from FilingOak service fees and are required to complete certain filings.
When a service includes state filing fees, the customer pays FilingOak for the applicable service and associated state fees as part of the checkout process.
FilingOak then remits the required state fees to the applicable filing authority as part of delivering the purchased service.
State fee amounts are determined by the applicable filing authority and may change without notice.
Once state fees have been paid to a filing authority, they are generally non-refundable.
9Payments
Payment is due at the time an order is placed unless otherwise stated.
By submitting payment information, the customer authorizes FilingOak and its payment processing providers to charge the applicable fees associated with the requested service.
Customers are responsible for ensuring payment information is accurate and current.
FilingOak reserves the right to refuse, suspend, or cancel services when payment cannot be processed.
10Refunds
Refund eligibility is governed by the FilingOak Refund Policy.
Generally, refunds are available before service work begins.
Once service preparation, filing preparation, service activation, document preparation, filing submission, or state fee payment has begun, refunds are generally unavailable because resources have already been allocated and work has already been performed.
State fees paid to filing authorities are generally non-refundable once remitted.
Registered Agent cancellations stop future renewals but do not generate prorated refunds. Service remains active until the end of the paid service term.

11Customer Non-Response
Certain services require information, approvals, corrections, signatures, or other customer participation before work can be completed.
If FilingOak requests information required to complete a service and the customer does not respond, service delivery may be delayed.
FilingOak will make reasonable efforts to contact the customer using the contact information provided during the order process.
If required information remains outstanding for 90 days from the most recent request, FilingOak may close the order and mark the service as abandoned.
Orders closed due to customer non-response are not eligible for refunds when service preparation, review, account setup, document preparation, filing preparation, service activation, or other service-related work has already begun.
12Processing Delays
Processing times may vary depending on the service requested, filing authority workloads, customer responsiveness, correction requests, document availability, and other factors outside FilingOak’s reasonable control.
FilingOak is not responsible for delays caused by filing authorities, customer non-response, incomplete information, correction requests, system outages, third-party providers, or circumstances beyond FilingOak’s reasonable control.
Estimated processing times should not be interpreted as guarantees.
13FounderVault
FounderVault is the private workspace where FilingOak keeps your business organized, including service records, filing visibility, compliance visibility, renewal visibility, communications, important business records, and account information.
FounderVault is intended to improve organization and accessibility for customers.
Customers remain responsible for maintaining independent copies of important business records.
Access to FounderVault may require account credentials and reasonable security measures established by FilingOak.
FilingOak may update, improve, modify, or expand FounderVault functionality over time.
14Document Retention And Historical Access
FilingOak intends to maintain customer records and documents inside FounderVault for as long as reasonably practical.
The objective is long-term accessibility, organization, and continuity for customers who may need to access important business records years after a service has been completed.
When reasonably practical, FilingOak intends to maintain customer access to historical service records and documents stored inside FounderVault, even after a service has been cancelled, completed, expired, or otherwise become inactive.
While permanent storage or permanent access cannot be guaranteed, FilingOak aims to preserve historical records and customer access for as long as reasonably practical.
FounderVault is designed to improve organization and accessibility but should not be relied upon as the sole recordkeeping system.
15Registered Agent Service Terms
Registered Agent Service is provided on a per-LLC basis.
Each LLC requires its own Registered Agent service and its own dedicated service record.
Registered Agent Service does not automatically renew.
Customers may choose to renew Registered Agent Service before the end of the current paid service term.
Renewal pricing, renewal status, and renewal options are visible inside FounderVault when applicable.
The service remains active until the end of the current paid service period.
To provide Registered Agent coverage, FilingOak works with established Registered Agent infrastructure providers.
FilingOak manages the customer experience, document organization, FounderVault access, renewal visibility, and customer support associated with the service.
16Annual Report Filing Terms
Annual Report Filing Service includes preparation and submission of eligible annual report filings using information provided by the customer.
The customer remains responsible for the accuracy of information submitted for filing.
FilingOak may contact the customer if additional information, clarification, or corrections are required before submission.
Approval decisions remain the responsibility of the applicable filing authority.
17Third-Party Providers
FilingOak works with third-party providers to deliver portions of its services and business operations.
These providers may include payment processors, technology platforms, communication providers, Registered Agent infrastructure providers, cloud storage providers, analytics providers, and other operational vendors.
While FilingOak carefully selects service providers, FilingOak is not responsible for outages, interruptions, delays, or failures caused by third-party providers outside FilingOak’s reasonable control.
18Limitation Of Liability
To the maximum extent permitted by applicable law, FilingOak and Enterobiz LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of FilingOak services, FounderVault, or related systems.
FilingOak’s total liability for any claim relating to a service shall not exceed the amount paid by the customer for the specific service giving rise to the claim.
Nothing in these Terms limits rights that cannot be limited under applicable law.
19Changes To Terms
FilingOak may update these Terms of Service from time to time.
Updated versions will be posted on the FilingOak website and become effective upon publication unless otherwise stated.
Continued use of FilingOak services after updates are published constitutes acceptance of the revised Terms.
